Terms of Service

1. Acceptance of Terms

By downloading the MillionEars App, creating an account, or scheduling a call through our Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

MillionEars provides a platform to capture life stories. The Service allows a User (Account Holder) to schedule AI-driven telephone interviews with a Participant (e.g., a parent). The Service records these calls via the telephone network, transcribes them, and organizes them into a digital archive accessible via the App.

3. User Responsibilities & Consent Warranties

This is a critical section. Please read carefully.

3.1 Establishing Consent

You acknowledge that the Service operates by placing automated telephone calls to third parties designated by you (the "Participants"). By adding a Participant's phone number to the Service, you represent and warrant that:

• (a) You have obtained express permission from the Participant to provide their phone number to MillionEars.
• (b) You have obtained express permission from the Participant to receive automated calls from our AI system.
• (c) The Participant has agreed to have their voice recorded, transcribed, and stored by us.

3.2 Notification of Recording

You understand that all calls initiated by the Service will begin with a notification that the call is being recorded (e.g., "This call is being recorded to preserve your memory"). You agree not to use the Service to call any individual who has not consented to being recorded.

4. Account & Subscription

• Subscriptions: The Service is billed on a subscription basis (e.g., monthly per parent). You agree to pay the fees associated with your selected plan.
• Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. You can manage subscriptions in your Apple ID settings.
• Account Security: You are responsible for maintaining the confidentiality of your App login credentials.

5. Content Ownership & License

• Your Ownership: You (and your family) retain full ownership rights to your stories, audio recordings, and transcripts ("User Content").
• License to Us: By using the Service, you grant MillionEars a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display the User Content solely for the purpose of providing the Service to you. This includes the right to process audio through our AI engines, generate summaries, and create derivative works you request (such as printed books).

6. Prohibited Use

You agree not to use the Service to:

• Schedule calls to emergency lines, government agencies, or non-consenting strangers.
• Harass, abuse, or harm another person.
• Violate any applicable local, state, or federal laws regarding telephone recording or wiretapping.

7. Disclaimers

• AI Accuracy: You acknowledge that transcriptions and summaries are generated by Artificial Intelligence. We do not guarantee 100% accuracy of transcripts or that the AI will perfectly interpret the context of every story.
• "As Is" Service: The Service is provided on an "as is" basis without warranties of any kind.

8. Limitation of Liability

To the maximum extent permitted by law, MillionEars shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Service. Our total liability for any claim shall not exceed the amount paid by you to MillionEars in the past 12 months.

9. Indemnification

You agree to indemnify and hold harmless MillionEars, its officers, and employees from any claims, damages, or legal fees arising out of (a) your violation of these Terms, or (b) any claim that a call scheduled by you violated the rights (including privacy or publicity rights) of a Participant.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
